o Google Acquires Video-Sharing Site YouTube for $1.65 Billion

Mountain View, Calif. - Google announced late on Monday that it will acquire video-sharing site YouTube, in an all-stock transaction valued at $1.65 billion. Rumors of the deal surfaced last week, and other potential suitors for the service, which now streams 100 million videos daily, included Microsoft, News Corp., Viacom and Yahoo. Google said that YouTube will operate independently "to preserve its successful brand and passionate community." "The YouTube team has built an exciting and powerful media platform that complements Google's mission to organize the world's information and make it universally accessible and useful," said Google CEO Eric Schmidt. "Our companies share similar values; we both always put our users first and are committed to innovating to improve their experience." Separately, San Bruno, Calif.-based YouTube announced new deals with Universal Music Group, Sony BMG and CBS that will allow artists' music and videos to be included in programming uploaded to YouTube. Meanwhile, Google also announced deals with Sony BMG and Warner Music Group, which allow the company to offer music videos for free, supported by streaming ads. Google launched its own video-sharing site, Google Video, earlier this year in part to respond to the tremendous Web traffic being generated by YouTube.

o Bankrupt Tower Records Sells Assets, Will Close Retail Stores

Los Angeles - Music retailer Tower Records will shutter its 89 U.S. locations, a result of the sale of the bankrupt company's assets at auction on Friday to liquidation firm Great American Group for $134.3 million. An e-mail sent to employees from Tower CEO Joseph D'Amico said in part: "My heart goes out to each of you who have poured your hearts and souls into this great company," according to The Hollywood Reporter, which also quoted Tower attorney peter Gurfein as saying liquidation and going out of business sales launched over the weekend. Bidders for the assets of the 46-year-old company included fellow music retailer Trans World Entertainment (FYE), and Radius Equity, which had promised to keep Tower Records stores open. The company's online store at Tower.com was sold separately from the real estate holdings, and on Tuesday was still operating.

o Judge Dismisses Shareholder Suit Over News Corp. Purchase of MySpace

Los Angeles - News Corporation's Fox Interactive Media unit announced on Tuesday that a judge has dismissed a lawsuit filed by Brad Greenspan, the former chairman and CEO of MySpace parent company Intermix Media, which alleged that News Corp.'s $580 million acquisition of MySpace cheated shareholders. Los Angeles Superior Court Judge Carolyn B. Kuhl on Friday dismissed Greenspan's and other shareholders' challenges to the MySpace deal, finding that the transaction was lawful and ratified by a fully informed vote of Intermix shareholders. "News Corporation and Fox Interactive Media feel vindicated by Judge Kuhl's ruling and have always believed that this is merely a situation of unchecked envy leading to a loss of common sense," said Fox Interactive Media general counsel Mike Angus. "We hope this ruling will finally put an end to Mr. Greenspan's repeated and unsubstantiated attacks and look forward to focusing our attention on continuing to strategically grow our business." Greenspan said on his FreeMySpace.com website that he plans to appeal Judge Kuhl's decision, and added that an Intermix shareholder complaint at the federal level continues to proceed.

o Report: Consumer Spending Hits $25 Million on Blu-ray, HD DVD Players

Los Angeles - Consumers have so far spent $25 million on the three available models of next-generation Blu-ray and HD DVD players, along with $5 million on movies for the devices, according to The Hollywood Reporter. Warner Home Video senior vice president of market management Steve Nickerson, who provided the figures to THR, also projected that consumers will have spent a combined $900 million on next-generation DVD players and movies by the end of the year, down from the company's earlier forecast of $1.1 billion to $2.2 billion. Nickerson added that Warner predicts 1.7 million high-definition drives will be in consumers' homes by year's end, broken down to include 500,000 standalone players, 1 million game consoles with Blu-ray or HD DVD drives, and 200,000 computer drives. Sony Pictures on Tuesday released the first 50GB Blu-ray Disc movie title, which features twice the capacity for high-definition content storage on its dual layers than does the standard Blu-ray Disc. Fox, Lionsgate and Warner Bros. are also expected to release 50GB Blu-ray movies.

o Napster, MusicNet Settle on Digital Royalty Rates for U.K. Songwriters

London - Digital music service providers Napster and MusicNet have reached a settlement on royalties to be paid to U.K. songwriters and music publishers for delivering their music online and to mobile phones. The MCPS-PRS Alliance, which represents U.K. songwriters, said the three-year deal is similar to an accord it reached last week with the British Phonographic Industry and digital music retailers including iTunes and T-Mobile, which gives songwriters 8% of gross revenue minus value-added taxes. MusicNet and Napster said the deal will result in the withdrawal of their references on the matter to the U.K. Copyright Tribunal.

o MySpace Organizes Rock for Darfur Campaign, Benefit Concerts

Los Angeles - News Corporation's MySpace online social network announced on Tuesday that it has partnered with international relief organization Oxfam on "Rock for Darfur," its largest philanthropic program to date that will raise awareness and funds for the humanitarian crisis in the Sudan. The online campaign includes a public service announcement featuring actor Samuel L. Jackson, video from actor George Clooney's recent trip to Darfur, and opportunities to buy campaign t-shirts and contribute to Oxfam. MySpace is also organizing more than 20 individual Rock for Darfur benefit concerts, enabling bands to contribute proceeds from already-scheduled shows to the campaign. Artists participating in the Oct. 21 concerts across North America include Alice in Chains, Ziggy Marley, TV on the Radio, Secret Machines, Insane Clown Posse, Gov't Mule and Bob Weir & Ratdog.

o CMP Technology Acquires Events Producer The Game Initiative

San Francisco - CMP Technology, a unit of United Business Media and the parent company of the Game Developers Conference, announced on Monday that it acquired The Game Initiative, a producer of video game industry conferences including the Austin Game Conference. Financial terms of the transaction were not disclosed. This year's Austin Game Conference, held in September, drew 2,400 attendees and 150 vendors. CMP said the deal will expand its events in areas like online game development and casual games. "We'd like to congratulate The Game Initiative for a phenomenally successful Austin Game Conference this year; we look to continue to grow and strengthen the show and to serve the attendees, speakers, sponsors and exhibitors with a top quality event," said Philip Chapnick a senior vice president at CMP Technology.

o Mobile Entertainment Distributor Cellfish Gets $50 Million Investment

New York - Cellfish Media, a unit of French media conglomerate Lagardere that produces and distributes mobile entertainment content, announced that it has raised $50 million from new investors Trio Capital, Telecom Media Fund and Groupe Humagade. The investors will own about a 30% stake in the company, along with Lagardere. New York-based Cellfish, which operates subsidiaries in France and Germany, creates and distributes mobile content including ringtones, animations and games through portals like BlingTones and Barrio Mobile. The company reported 2005 revenues of $116 million.

o Live TV Mobile Games Firm AirPlay Raises $14 Million

San Francisco - AirPlay, a developer of interactive TV games for mobile phones, announced on Tuesday that it has secured $14 million in its second round of venture capital financing. Participating in the round were Qualcomm, Motorola, JK&B Capital, Onset Ventures and Redpoint Ventures. Founded in 2004, San Francisco-based AirPlay develops games that let viewers play along with live TV programs from their mobile phones. Its applications include Emmys AirPlay Live from Sprint, which allowed viewers to predict winners and losers, view commentary and answer trivia questions during the awards broadcast. The company will use the funds to implement its plan to offer AirPlayTV events include game and award shows, sports and reality TV programming this year.

Los Angeles - Ripe Digital Entertainment, a producer and aggregator of programming for on-demand platforms and developer of digital advertising, announced that it has raised $32 million in its second round of venture capital financing. Investors in the round included Hearst-Argyle, Time Warner Investments, Columbia Capital and Rho Ventures. o Ruckus Wireless Raises $16 Million for "Smart Wi-Fi" Products

Sunnyvale, Calif. - Ruckus Wireless, a developer of "smart Wi-Fi" technology and products, announced on Tuesday that it has raised $16 million in new financing, led by Motorola Ventures. New investors including T-Online Venture Fund and Firelake Capital Management also participated, along with existing investors Sequoia Capital, Sutter Hill Ventures, Investor AB and WK Technology Fund. The proceeds will be used to rapidly scale the company's production, operations and sales and marketing worldwide.

San Mateo, Calif. - Smalltown, a new user-generated content site focused on geographic communities, announced on Tuesday that it has launched from stealth operations and raised $3 million in its first round of funding from Formative Ventures. The company's first sites will focus on Burlingame and San Mateo. o NYT Report: DOJ Looking Into Possible Collusion by Private Equity Firms

Washington - The New York Times DealBook publication reported on Tuesday that the U.S. Justice Department has sent letters to major private equity firms in a possible inquiry into anticompetitive activity. The article said that the "the delicate dance among buyout firms, who compete in some deals and work side-by-side on others, is drawing some unwanted attention." Amid a surge in private equity in recent years, the funds have become an increasingly important driver of merger and acquisition activity by public companies. The article added, "In private, some buyout executives concede that firms' cooperation, often in the form of 'club deals,' can have the effect of lowering prices for the companies they are acquiring."

Los Gatos, Calif. - Online DVD rental service Netflix announced on Tuesday that nearly 10,000 contestants have signed up for its contest that will award $1 million to anyone who can improve the accuracy of the site's movie recommendations by 10%. The company said that competitors come from 99 countries, and include more than 200 universities and several government laboratories, adding that it has already received 82 valid submissions.

o Microsoft Details Advanced Set-tops Featuring IPTV Edition Software

Paris - Microsoft announced on Tuesday that system-on-a-chip set-top boxes, which can deliver advanced services like HDTV, digital video recording and picture-in-picture functionalities, are now available to support its Microsoft IPTV Edition software. Such a set-top from Philips, running Microsoft's software, will be launched this fall by U.K. telco BT, while others from Cisco and Motorola will be deployed by customers including AT&T.

Miami - Fast food chain Burger King announced that it has partnered with hip-hop artist Sean "Diddy" Combs on a cross-marketing partnership that includes the launch of a "DiddyTV" channel on the YouTube video-sharing service. The channel will feature tracks and video clips from Diddy's forthcoming album, "Press Play." Under the deal, Combs will appear in a Burger King ad campaign, while the restaurant chain will sponsor a nationwide promotional tour for the album.
